Clause 01 // Structural Prerequisites STATUTORY CONTRACT

01. Acceptance of Terms & Contractual Capacity

These Terms of Service (“Terms”) govern your access to and use of services provided by CodexLabs AI Private Limited (“Company”, “we”, “our”, or “us”), based in Ahmedabad, Gujarat, India.

By accessing, deploying, registering credentials for, or using the online ecosystem comprising codexlabsai.in, the student and educator portal at questsetu.com, you agree to these Terms and any product-specific terms shown to you. If you use a service on behalf of an organization, you represent that you are authorized to do so.

QuestSetu is designed for learners, educators, schools, and families. Younger users should access the service through an appropriate parent, guardian, or authorized educational institution and follow the account and consent flow provided for that product.

Clause 03 // Operational Boundaries ACCEPTABLE USE

03. Acceptable Use Policy

Use the services only for lawful, authorized purposes. Do not misuse them to harm users, bypass safeguards, extract protected systems, disrupt service, or endanger children.

Directly or indirectly executing jailbreak exploits, token manipulation, system prompt extraction, or evasion of safety guardrails is strictly prohibited.

Attempts to use the services to create or expose children to illegal, exploitative, or seriously harmful content may result in restriction, suspension, and reporting where legally required.

CodexLabs AI and its licensors retain rights in the services, software, brand assets, original content, and technology, subject to applicable law and third-party licences.

Except where law permits otherwise, you may not copy, reverse engineer, bypass access controls, or commercially exploit the services without written authorization.

Institutional & Student Data Ownership

Users and institutions retain their rights in original content they submit (“Customer Inputs”). They grant us the limited permission needed to process that content to provide, secure, and support the service.

We do not sell learner inputs to advertising networks. Our processing of Customer Inputs is described in the applicable privacy notice and any signed institutional agreement.

QuestSetu may use generative AI, retrieval, and structured learning context. AI systems are probabilistic and can produce incomplete or incorrect output.

lightbulb Assistive Companion, Not Substitute

QuestSetu is an assistive pedagogical tool intended to augment human pedagogy, inspire curiosity, and assist educators with scaffolding. It is NOT a certified substitute for qualified human educators, school counsellors, psychologists, or official board-certified exam evaluation.

Important facts, calculations, citations, and academic work should be checked by the learner and a qualified educator before formal use.

Clause 06 // Institutional Delegation K-12 GOVERNANCE

06. Institutional Accounts & School Authorization

When an account is created or managed for an institution, the person acting for that institution represents that:

check_circle They will obtain any notices, permissions, or consents required for learner use.
check_circle They will protect administrator and educator credentials and promptly report suspected compromise.

Clause 07 // Financial & Risk Envelope LIABILITY ALLOCATION

07. Limitation of Liability & Warranties

TO THE FULLEST EXTENT PERMISSIBLE BY THE LAWS OF INDIA, CodexLabs AI PRIVATE LIMITED, ITS DIRECTORS, RESEARCH SCIENTISTS, EMPLOYEES, AND FOUNDRY AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF DATA, SYSTEM DOWNTIME, OR INTERRUPTED ACADEMIC TERMS.

To the extent permitted by applicable law, any aggregate liability arising from use of QuestSetu or the CodexLabs AI platform will be addressed under the applicable paid-service or institutional agreement. Nothing in these Terms excludes liability that cannot legally be excluded.

Clause 08 // Legal Jurisdiction STATE OF GUJARAT

08. Governing Law & Dispute Resolution

These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by, interpreted, and construed in accordance with the substantive laws of the Republic of India, without regard to conflicts of law principles.

Any dispute, controversy, or claim arising out of or relating to this agreement shall be submitted to binding individual arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The seat and venue of arbitration shall be Ahmedabad, Gujarat, India. The language of proceedings shall be English.

Subject to arbitration provisions, the competent civil courts situated exclusively in Ahmedabad, Gujarat, India shall possess exclusive jurisdiction over any equitable relief or statutory enforcement proceedings.
